1. Introduction and Agreement

Welcome to Palio Privato (https://palioprivato.com/), an exclusive hospitality and lifestyle brand operated by Top Five – AD (“Company,” “we,” “us,” or “our”), a Joint Stock Company registered in the Republic of Bulgaria.

By accessing our website, requesting an invitation, or purchasing one of our curated event experiences, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. You must be at least 18 years of age to request an invitation or purchase our services.

2. The Experience & Right of Admission

Palio Privato provides ultra-exclusive, invitation-only hospitality packages, dining experiences, and event access (specifically related to the Palio di Siena).

  • Invitation Process: Submission of a “Request an Invitation” form does not guarantee access or purchase rights. We manually vet all applications.

  • Right of Refusal: We reserve the right to approve, deny, or revoke any invitation or purchase access at our sole discretion, without providing a reason, to maintain the exclusivity and safety of our events.

3. Payments, Pricing, and Taxes

All prices for our experiences are provided upon approval of your invitation.

  • Transactions: Payments are processed securely via our third-party payment gateway (Stripe) through private, encrypted Payment Links.

  • Taxes: As a European entity, we are required to comply with EU VAT regulations. Applicable Value Added Tax (VAT) will be calculated and clearly displayed during the checkout process based on your billing location and B2B/B2C status.

  • Currency: All transactions are processed in Euros (EUR) unless otherwise specified.

4. Assumption of Risk & Liability Exclusions

Attending a live, historic event like the Palio di Siena involves inherent risks, including large crowds, physical strain, and unpredictable circumstances.

  • Personal Liability: By attending our experiences, you voluntarily assume all risks related to travel, event attendance, and personal safety. Top Five – AD is not liable for any personal injury, loss of property, or damages sustained during the event.

  • Dietary Restrictions: While we provide haute cuisine, it is your responsibility to inform us of any severe food allergies in advance. We are not liable for allergic reactions.

  • Third-Party Vendors: We partner with exclusive venues, chefs, and local authorities. We are not liable for the actions, omissions, or negligence of these independent third parties.

5. Force Majeure (Event Cancellation)

The Palio di Siena is a historic event governed by local Italian authorities. Top Five – AD is not liable for any failure or delay in delivering the experience if such failure is due to circumstances beyond our reasonable control (Force Majeure). This includes, but is not limited to: government mandates, cancellation of the Palio by the City of Siena, severe weather, natural disasters, strikes, or civil unrest.

6. Intellectual Property

All content on this website, including but not limited to text, gorgeous imagery, logos, branding, and design, is the exclusive intellectual property of Top Five – AD or its licensors. You may not copy, reproduce, distribute, or create derivative works from our website without our explicit written consent.

7. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Bulgaria and applicable European Union directives, without regard to its conflict of law provisions. Any legal action or dispute arising from these Terms or your use of our services shall be resolved exclusively in the competent courts of Sofia, Bulgaria.

8. Amendments

We reserve the right to modify these Terms of Service at any time. Any changes will be effective immediately upon posting to this website. Your continued use of the website and our services constitutes acceptance of the revised terms.
